All WDBA Members:
On
Wednesday, February 6, 2008, a meeting of the WDBA Board of Directors
was held. The following is a quick summary of the results of the meeting
for your information: The full minutes of this meeting along with the
adopted by-laws will be sent to you shortly.
Lucia
Matlock called the meeting to order at 6:30pm
- The
revised by-laws which incorporated the original 2007 draft ideas
along with the core aspects of the Main Street Program (via a
template set of by-laws) were discussed thoroughly and amendments
were made and discussed throughout. By unanimous vote, the new WDBA
by-laws were adopted. A revised, final version of the by-laws will
be presented at the next meeting of the Board of Directors and
distributed to all WDBA members after that meeting.
- Lucia
Matlock tendered her resignation as the WDBA Board President. The
Board of Directors accepted her resignation via a resolution by
unanimous vote.
- The
WDBA Board of Directors confirmed the appointment of all new and
replacement board members. The resolution was adopted by unanimous
vote. The full, 13 member board is as follows under the new by-laws.
Elections will be held at the April, 2008 annual meeting of the
members to elect 9 members to the Board of Directors for staggered
terms as required by the new by-laws. The current board members are:

- The
Board of Directors elected it officers as follows by a unanimous
vote resolution. New officer elections will occur at the first
meeting of the Board of Directors after the April, 2008 annual
meeting and election of directors.

- By
resolution and unanimous vote, the Board of Directors appointed
Lucia Matlock as interim Executive Director without compensation
until such time as the economics of the position can be resolved.
The Board also referred to the Executive Committee the
responsibility to define an open selection process for the permanent
position of Executive Director and to make its recommendations to
the full Board at it next regular meeting.

Matlock accepted the position
- The
Board of Directors unanimously appointed Doug Fenstermaker, Jim
Hecht, Merida Johns and Lucia Matlock to a committee to complete the
work on filing the application for 501 c 3 tax-exempt status with
the IRS as soon as reasonably possible. The WDBA, in accordance with
its by-laws will be a community-based, non-profits and tax-exempt
organization for the benefit of the Woodstock Downtown Community.
- By
unanimous consent, the following items were adopted by the Board of
Directors:
- Independent
newspaper article (request for a standing article with focus on
progress for the Main Street program)
- Court
Services/community service volunteers (requesting access
for volunteer assistance via this program)
Dates
and times for the next meeting of the Board were discussed and agreed
to. There being no further business, this meeting of the Board of
Directors was adjourned.
